1. Acceptance of Terms

By accessing and using the website gizlimedya.com.tr and the services provided by Gizli Medya ("we," "our," or "the Agency"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our website or services.

2. About Our Services

Gizli Medya is a digital brand agency based in Istanbul, Turkey. We provide the following professional services:

Social Media Management: Strategy development, content creation, community management, and performance reporting for platforms including Facebook, Instagram, LinkedIn, X (Twitter), and YouTube.
Digital Advertising: Campaign creation, management, and optimization on Meta (Facebook/Instagram), Google Ads, Spotify, YouTube, and other advertising platforms.
SEO & Digital Marketing: Search engine optimization, content marketing, email marketing, and conversion rate optimization.
Content Production: Graphic design, video production, copywriting, and multimedia content creation.
Brand Consulting: Brand strategy, identity development, market research, and competitive analysis.

3. Client Responsibilities

When engaging our services, clients agree to:

Provide accurate and complete information necessary for service delivery.
Grant appropriate access to social media accounts, advertising platforms, and other tools required for campaign management.
Review and approve content, campaigns, and strategies in a timely manner.
Comply with all applicable laws and platform policies, including Meta Platform Terms, Google Ads policies, and other relevant advertising guidelines.
Ensure that all materials provided to the Agency (logos, images, text) do not infringe on third-party intellectual property rights.

4. Meta & Third-Party Platform Compliance

In connection with advertising services on Meta platforms (Facebook and Instagram):

All campaigns are managed in compliance with Meta Advertising Standards and Meta Platform Terms.
Clients authorize the Agency to access and manage their Facebook Pages, Instagram accounts, and Ad Accounts through Meta Business Manager.
The Agency uses Meta Marketing API and related tools in accordance with Meta developer policies.
Campaign performance data, audience insights, and other analytics are used solely for the purpose of service delivery and reporting to the respective client.
The Agency is not responsible for changes to Meta platform policies, algorithm updates, or account restrictions imposed by Meta.

5. Intellectual Property

All original content, designs, strategies, and materials created by Gizli Medya remain the intellectual property of the Agency until full payment is received, at which point ownership transfers to the client as specified in the service agreement.
The Agency retains the right to showcase completed work in its portfolio unless otherwise agreed in writing.
Client-provided materials remain the property of the client.

6. Payment Terms

Service fees, payment schedules, and terms are specified in individual client agreements or proposals.
Advertising budgets (ad spend) are separate from agency service fees and are paid directly to the respective platforms or as agreed.
Late payments may result in suspension of services.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes but is not limited to business strategies, campaign data, analytics, audience insights, and financial information.

8. Limitation of Liability

The Agency is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
We do not guarantee specific results (such as follower counts, engagement rates, or conversion numbers) as outcomes depend on various factors beyond our control.
The Agency is not responsible for third-party platform outages, policy changes, or account suspensions imposed by Meta, Google, or other platforms.
Maximum liability is limited to the fees paid for the specific service in question.

9. Termination

Either party may terminate the service agreement with 30 days written notice, unless otherwise specified in the contract.
Upon termination, the Agency will transfer all account access, assets, and campaign data back to the client.
Fees for services rendered up to the termination date remain payable.

10. Website Use

The content on this website is provided for informational purposes only.
You may not reproduce, distribute, or use any content from this website without prior written consent.
We reserve the right to modify or discontinue any part of the website at any time.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes shall be resolved in the courts of Istanbul, Turkey.

12. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the updated terms.
